Akron Cigar Club By-Laws
(Ratified 28 August, 2004)
Mission Statement:
The Akron Cigar Club is dedicated to the enjoyment that
comes from smoking a hand made cigar while in the company of good friends,
sharing information relevant to the cigar industry and patronizing cigar
friendly establishments in the greater Akron area.
Articles:
1. Membership
Open to anyone of legal age who is interested in sharing
their knowledge and cigar smoking experiences, and anyone who is interested in
learning more about the fascinating world of premium hand made cigars.
Different levels of membership will be granted at the discretion of the club
officers until an article of standards is developed. All activities and funds
are intended to uphold the mission of the Akron Cigar Club and will be used to
directly benefit the membership.
Gold Key members will include all officers and charter
members. Any member who attends at least two monthly meetings within one year
is eligible for gold key status. Only gold key members are eligible to hold
office or vote on club issues.
Silver Key members will have access to upgraded club news
and activities. Silver Key access can be attained by getting a voucher from a
gold key member.
2. Meetings
Meetings will be held on the last Tuesday of each month at
a cigar friendly establishment. Most meetings will be in the greater Akron
area, however, other locations may be considered. Officers will meet for
discussion of business matters at least every third month prior to regularly
scheduled meetings.
3. Officers
President will preside over meetings, appoint committee
chairmen and provide leadership and direction to the Akron Cigar Club. Duties
will also include keeping of financial statements, maintain the ACC checking
account, and issue allocation of funds for expenditures. In the event that the
President is unable or no longer willing to serve, the Vice President will
assume Presidential duties until such time that a new president is elected. The
Vice President may choose to run for the office of President.
Vice Presidents primary duty will be to serve as chairman
of the Activities Committee. Other duties will include interclub liaison and
presiding over club meetings in the absence of the President. The Vice President
will also serve to develop strategies for recruitment of new members. In the
event that the Vice President is unable or no longer willing to serve, the
President will assume Vice Presidential duties until such a time that a new Vice
President is elected.
Secretary will record minutes of business meetings as well
as maintain updated information on the Clubs web site. Secretary will serve as
Web master and preside over the Web Site Committee. At least one other elected
officer will retain ftp access to the site and secure a back up copy. In the
event that the secretary is unable or no longer willing to serve, the officer in
possession of the back up will serve as temporary web master until a new
secretary is appointed.
Club Connoisseur will be appointed by a majority of the
elected club officers. This individual must exhibit exceptional knowledge
concerning the cigar industry and will serve as the clubs resource person and
advisor on all cigar related subjects. The Club Connoisseur will serve as
chairman of the cigar resource committee, and in the unlikely event of a tie,
will cast the deciding vote. The Club Connoisseur will serve until such a time
that he resigns or is terminated by a majority of the elected officers.
4. Officer Terms
Terms will run from January 1st to December 31st.
Nominations will be taken at the November meeting. Only gold key members are
eligible to nominate or be nominated. Each nominee for a contested office will
be posted on the Club Web site under ACC news where voting for said candidates
will be conducted. All vacating officers will make themselves available for a
transitional period of one month after the end of their term.
5. Appointments of Committees and
other Officers.
With the exception of Club Connoisseur the president shall
define new officers as needed. The majority of Gold Key members will then
nominate and vote on said officer.
The president shall decide committee chairs not held by
other club officers.
Should an existing officer resign the president shall
appoint an interim officer until such a time that gold key members can nominate
and vote for a replacement. The process for replacing an officer must occur
prior to 30 days from the date of resignation.
6. Financial Responsibility
Akron Cigar Club must maintain a positive net worth.
Expenses on behalf of ACC will be incurred by ACC officers only. Expenditures
of over $200.00 must be approved by a majority of officers. An expenditure of
over $500.00 must be approved by a majority of gold key members.
Financial reports will be posted on the club web site with
access granted to gold key members.
7. By-Law Amendments.
Each June meeting a by-laws review committee shall be
appointed by club officers. The committee will review the by-laws. All proposed
changes will be brought before the gold key membership for a vote of approval
prior to any changes and will be posted on the Clubs web site. All proposed
changes must be submitted to the officers prior to the July meeting.
